1. Agreement to Terms

By accessing or using the RisenVoice AI website (“Site”) or services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site or Services.

You represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that entity.

These Terms should be read alongside our Privacy Policy, which describes how we collect and use your data.

2. Description of Service

RisenVoice AI provides AI-powered voice agent technology for HVAC and home-service companies. Our Services include:

  • AI voice agents that answer inbound calls on your behalf
  • Automated appointment booking integrated with your CRM (e.g., ServiceTitan, Jobber)
  • Multi-channel follow-up via phone, text, and email
  • Call recording, transcription, and analytics
  • 24/7 after-hours call coverage

Our Services are provided on a subscription (SaaS) basis. Specific features, pricing, and service levels are outlined in your individual service agreement.

3. Account Terms

  • You must provide accurate, current, and complete information during registration and keep it updated
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately at privacy@risenvoiceai.com if you suspect unauthorized access to your account

4. Acceptable Use

You agree not to:

  • Use the Services for any illegal, fraudulent, or unauthorized purpose
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Attempt to gain unauthorized access to our systems or infrastructure
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to transmit spam, malware, or abusive content
  • Resell, sublicense, or redistribute the Services without our written consent
  • Use the AI voice agents to impersonate a human being in a deceptive manner in jurisdictions where such impersonation is prohibited

By providing your phone number through our website, forms, or Services, you consent to receiving service-related communications via phone call, text message (SMS/MMS), or voicemail from RisenVoice AI.

Opt-Out

You may opt out of text messages at any time by replying STOP to any message or by contacting us at privacy@risenvoiceai.com.

Marketing Consent

Marketing text messages require a separate opt-in and are never sent without your express written consent. Opting out of marketing texts does not affect transactional or service-related messages.

6. Intellectual Property

Our content: All content, software, AI models, branding, logos, and other materials on the Site and within the Services are owned by RisenVoice AI or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your data: You retain full ownership of your business data, customer data, and call recordings. We do not claim ownership of any data you provide or that is generated through your use of the Services. We use your data solely to provide and improve the Services as described in our Privacy Policy.

7. Payment Terms

  • Pricing, billing frequency, and payment terms will be outlined in your individual service agreement or subscription plan
  • We accept major credit cards and other payment methods as specified at the time of purchase
  • Fees are non-refundable except as required by law or as specified in your service agreement
  • We reserve the right to change pricing with 30 days’ written notice. Price changes do not apply to the current billing period
  • Late or failed payments may result in suspension of Services

8. Service Level & Availability

We make commercially reasonable efforts to maintain high uptime and availability for our Services. However:

  • We do not guarantee 100% uptime or uninterrupted service
  • Scheduled maintenance windows will be communicated in advance when possible
  • We are not liable for disruptions caused by third-party services, internet outages, or force majeure events
  • Specific uptime commitments, if any, will be detailed in your service agreement

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total fees paid by you to RisenVoice AI during the twelve (12) months immediately preceding the claim
  • In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption
  • We are not liable for any errors, omissions, or inaccuracies in AI-generated responses, call handling, or appointment bookings

10. Indemnification

You agree to indemnify, defend, and hold harmless RisenVoice AI, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you provide through the Services

11. Termination

Either party may terminate the service relationship with 30 days’ written notice. Additionally:

  • We may suspend or terminate your access immediately for violation of these Terms
  • Upon termination, you will have 30 days to request export of your data. After this period, we may delete your data in accordance with our data retention policy
  • Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) will remain in effect

12. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to:

  • Implied warranties of merchantability or fitness for a particular purpose
  • Warranty of non-infringement
  • Warranty that the Services will be error-free, uninterrupted, or secure

Our AI voice agents use artificial intelligence to handle calls and may occasionally produce incorrect or unexpected responses. AI outputs are not guaranteed to be accurate in all situations. You are responsible for reviewing and monitoring AI interactions as appropriate for your business.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of [State TBD — to be updated upon entity formation], without regard to conflict of law principles.

14. Dispute Resolution

Informal Resolution

Before filing any formal legal action, you agree to attempt to resolve any dispute informally by contacting us at privacy@risenvoiceai.com. We will work in good faith to resolve the issue within 30 days.

Binding Arbitration

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration administered by a mutually agreed-upon arbitration provider, rather than in court.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the “Effective” date at the top of this page
  • Post the revised Terms on our website
  • Make reasonable efforts to notify active subscribers of material changes via email

Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any individual service agreement, constitute the entire agreement between you and RisenVoice AI. They supersede all prior communications, proposals, and representations with respect to the subject matter herein.
